VERTIKAL Group strengthens its position in the Hungarian plastics industry with a HUF 1.3 billion acquisition

On 17 September 2025, VERTIKAL Group Plc. entered into a share exchange agreement with Hodler Capital Ltd., under which it will acquire 100% of the ownership interest in Plast-X Partner Ltd. Plast-X Partner is a 76.91% indirect owner of AP Plast Holding Ltd., which fully owns Flair-Plastic Ltd., a company that has been a key player in the Hungarian plastics industry for over 25 years.


The transaction has a valuation of HUF 1.337 billion. As consideration, VERTIKAL Group will execute a capital increase and issue new ordinary shares to Hodler Capital Ltd. at an issue price of HUF 10.99 per share. Completion of the transaction remains subject to investment fund and financial institution consents as well as approval from the Hungarian Competition Authority.


Following the acquisition, VERTIKAL Group will indirectly obtain qualified majority control of Flair-Plastic Ltd., based in Miskolc, which has been engaged in plastic injection moulding and contract manufacturing since 1996. The company operates with nearly 150,000 square meters of site infrastructure, modern production capacity, and a resilient customer base. In 2024, Flair-Plastic processed approximately 4,500 tonnes of plastic raw material, a volume considered significant at the international level. Its partners include a German tool manufacturing multinational, an Italian Tier 1 automotive supplier, and a UK-based company specialising in hygiene storage products.


The integration of Flair-Plastic marks a significant strategic milestone for VERTIKAL Group. The company has already established an integrated industrial model that links waste collection, treatment, and processing with plastics manufacturing and product development. With this transaction, VERTIKAL Group will be able to substantially increase its production capacity, strengthen its competitive market position, and unlock further growth potential. Flair-Plastic’s decades-long expertise and established client relationships also provide a solid basis for future international expansion.
